The share capital of Digital Magics SpA shall amount to EUR 6,573,113, divided into 6,573,113 ordinary shares of no nominal value.<\/p>\n<p style=\"text-align: justify;\">Subscription applications under pre-emption rights amounted to no. 283,238 shares, compared to an amount of unsubscribed shares equal to no. 81,473. Taking into account the results of the Offer, as announced to the market on March 3 2017, the total countervalue of the request, including all the requests under pre-emption rights, was equal to EUR 5,787,093.84 against a bid for EUR 4,972,972.07.<\/p>\n<p style=\"text-align: justify;\">Since the unallocated shares have not been sufficient to satisfy all the applications received, the Issuer has carried out the assignment on the basis of a mechanism of proportional allotment to securities already owned by applicants, given that those subscribed as a result of the exercise of the option rights are also to be considered. The new shares allotted following the exercise of Pre-emption rights will be credited to the accounts of the intermediaries participating in the centralised management system run by Monte Titoli SpA at the end of this accounting day and will therefore be available by March 7 2017, as the next settlement day.<\/p>\n<p style=\"text-align: justify;\">Tamburi Investment Partners SpA (TIP) has fully subscribed to its share of the capital increase by option shares for about 900,000 EUR and has exercised the right of first refusal on unsold shares up to a maximum of an additional one million EUR. Following the assignment by proportional allotment of unsold shares, TIP will own 1,193,045 shares, representing 18.15% of the new share capital.<\/p>\n<p style=\"text-align: justify;\">Garage Start Up Srl \u00e2\u20ac\u201c controlled by Multiversity SpA, a holding company that controls Danilo Iervolino Universitas Mercatorum and Pegaso Telematic University &#8211; has exerted no. 1,883,520 option rights, purchased by some members of Digital Magics S.p.A., by subscribing to the rights issue of \u00e2\u201a\u00ac 1.9 million.
