DIGITAL MAGICS: INITIATION OF TRADING “WARRANTS 2017-2022”<\/strong><\/p>\n

Milan, May 19, 2017<\/strong> – Digital Magics SpA, business incubator<\/em> listed on the AIM Italia market, organised and managed by the Italian Stock Exchange (symbol: DM), announces that starting from Monday, May 22, 2017 the “Warrants Digital Magics 2017-2022”<\/em> may be traded on the market AIM Italia. On the same date the Warrants will be allocated, free of charge and without the need for any other inquiries, to the holders of ordinary shares of Digital Magics SpA who will receive “Warrants Digital Magics 2017-2022”<\/em> at the ratio of 1 (one) Warrant for each 4 (four) shares held, as already described in the context of the capital increase plan approved on April 27. The maximum number of Warrants issued will be equal to 1,643,278.<\/p>\n

It should be noted that the exercise of warrants has been scheduled over six periods during the course of five years, in October of each year from 2017 to 2022. The exercise price of the warrants has been fixed at increasing values \u00e2\u20ac\u2039\u00e2\u20ac\u2039over time, as follows: (i)<\/em><\/strong> EUR 5.75 from the first day of the month of October and until the last day of the month of October of the year 2017 (the “First Exercise Period”<\/em>); (ii)<\/em><\/strong> EUR 6.35 from the first day of the month of October and until the last day of the month of October of the year 2018 (the “Second Exercise Period”<\/em>); (iii) <\/em><\/strong>EUR 6.95 from the first day of the month of October and until the last day of the month of October of the year 2019 (the “Third Exercise Period”<\/em>); (iv)<\/em><\/strong> EUR 7.55 from the first day of the month of October and until the last day of the month of October of the year 2020 (the “Fourth Exercise Period”<\/em>); (v)<\/strong> EUR 8,15 from the first day of the month of October and until the last day of the month of October of the year 2021 (the “Fifth Exercise Period”<\/em>); (vi)<\/em><\/strong> EUR 8.75 from the first day of the month of October and until the last day of the month of October of the year 2022 (the “Sixth Exercise Period”<\/em>) (each of these exercise periods, each being a “Exercise Period”<\/em> and collectively the \u00e2\u20ac\u0153Exercise Periods”<\/em>);<\/p>\n
