Digital Magics, business incubator<\/em> listed on the AIM market of the Italian Stock Exchange (symbol: DM), hereby announces that the First Exercise Period (from October 1 2017 and up to October 31 2017, inclusive) of the \u00e2\u20ac\u0153Digital Magics SpA Warrants 2017 – 2022\u00e2\u20ac\u009d, ISIN code no. IT0005253247 ended.<\/p>\n

During the First Exercise Period no. 738,065 warrants were exercised and no. 738,065 Digital Magics newly issued ordinary shares (the “Conversion Shares”) were consequently subscribed (in the ratio of no. 1 new share for each Warrant exercised) at a price of EUR 5.75 each, for a total value of EUR 4,243,873.75.<\/p>\n

The Conversion Shares are admitted to listing on the AIM Italia Market, are without nominal value, have regular dividend rights and have the same features of the Digital Magics\u00c2\u00a0 ordinary shares outstanding on the date of issue.<\/p>\n

At the conclusion of the above-mentioned subscriptions, the new share capital of Digital Magics SpA is therefore equal to Euro 7,311,178, represented by 7,311,178 ordinary shares. It should be reminded that, pursuant to the Warrants Regulations, the exercise of the Warrants will be effective, and therefore the Conversion Shares will be issued, by the tenth trading day following the end of the First Exercise Period. It should also be reminded that the holders of the no. 904,939 Warrants remaining in circulation will have the right, according to the terms and conditions set out in the Warrants Regulations, to subscribe on each bank business day of the month of October of the years 2018, 2019, 2020, 2021, 2022 (the “Exercise Periods”), additional Conversion Shares, in the ratio of no. 1 Conversion Share for each Warrant exercised, at the exercise price specified in the Regulations.<\/p>\n
