Digital Magics hereby announces that the holders of the \u00e2\u20ac\u0153Warrant Digital Magics SpA 2017 \u00e2\u20ac\u201c 2022\u00e2\u20ac\u009d (Digital Magics 2017 – 2022 Warrants), ISIN code no. IT0005253247, may require the exercise of the warrants as of October 1 2018 and up to October 31 2018, inclusive (the “Second Exercise Period”), on each trading day, with the right to underwrite ordinary shares of Digital Magics SpA, newly issued, admitted to listing on the AIM market, organised and managed by Borsa Italiana SpA, without nominal value, with regular dividend rights and with the same features of\u00c2\u00a0 the Digital Magics ordinary shares outstanding on the date of issue\u00c2\u00a0 (the “Conversion Shares “), in the ratio of no. 1 Digital Magics Conversion Share for each Warrant exercised. Subscription requests must be submitted to the intermediary belonging to the centralised management system of Monte Titoli SpA, where the Warrants are held.<\/p>\n

The exercise price of the Warrants for the Second Exercise Period amounts to 6.35 Euro (six point thirty-five) for each Conversion Share. The exercise of the Warrants will be effective by the tenth trading day following the end of the Second Exercise Period. No events which may cause the suspension of the exercise rights are expected during the Second Exercise Period.<\/p>\n
