THE EXTRAORDINARY MEETING OF DIGITAL MAGICS APPROVES A RESTRICTED SHARE CAPITAL INCREASE FOR EURO 1,450,000<\/strong><\/p>\n

With the subscription to the capital increase, Marco Gay now holds 5% of the share capital of Digital Magics S.p.A., through the vehicle WebWorking S.r.l.<\/em><\/p>\n

Milan, 28 January 2016<\/strong> – The meeting was held\u00c2\u00a0 in Milan at the corporate offices, the Extraordinary Meeting of Shareholders of Digital Magics S.p.A., business incubator <\/em>listed on AIM Italia of Italian Stock Exchange (symbol: DM).<\/p>\n

The Extraordinary Meeting authorized, unanimously by those present, an increase in share capital for cash, for a maximum nominal amount of EUR 247,556.00 through the issue of a maximum of n. 247,556 new ordinary shares with dividend rights, for a total amount, including share premium, of Euro 1,450,000.<\/p>\n

The capital increase is carried out with exclusion of subscription rights, pursuant to Article 2441, paragraph 4 sentence 1 and paragraph 5 of the Civil Code, as reserved for subscription to the company WebWorking S.r.l. (a company controlled by Marco Gay, recently appointed Vice President of Digital Magics) and to be paid partly in cash and partly through contributions in kind.<\/p>\n

Consequently following the Extraordinary Meeting, the complete subscription of the share capital previously resolved has been finalised, with the payment of Euro 500,000 in cash and with the acts of the conferment of the business unit WebWorking S.r.l., relating to the design and consulting in the digital market, for a value of Euro 650,000, and the participation (20% stake) in AD2014 S.r.l., innovative startup active in the fields of Internet of Things<\/em>, for a value of Euro 300,000.<\/p>\n

The 247,556 new shares, which have a unit issue price of Euro 5.857, represent 5.02% of the new share capital of Digital Magics. Therefore, the new partner Marco Gay, exceeding the threshold of 5%, will be designated as a significant shareholder pursuant to AIM Italy Regulation.<\/p>\n
