DIGITAL MAGICS: “DIGITAL MAGICS WARRANTS 2017-2022â€. BEGINNING OF THE FIRST EXERCISE PERIOD – OCTOBER 2017

Digital Magics hereby announces that the holders of the “Digital Magics Warrants SpA 2017 – 2022”, ISIN code no. IT0005253247, may require the exercise of the warrants as of October 1 2017 and up to October 31 2017, inclusive (the “First Exercise Period”), on each trading day, with the right to underwrite ordinary shares of Digital Magics SpA, newly issued, admitted to listing on the AIM market, organised and managed by Borsa Italiana SpA, without nominal value, with regular dividend rights and with the same features of the Digital Magics ordinary shares outstanding on the date of issue (the “Conversion Shares “), in the ratio of no. 1 Digital Magics Conversion Share for each Warrant exercised. Subscription requests must be submitted to the intermediary belonging to the centralised management system of Monte Titoli S.p.A, where the Warrants are held.
The exercise price of the Warrants for the First Exercise Period amounts to EUR 5.75 (five point seventy-five) for each Conversion Share. The exercise of the Warrants will be effective by the tenth trading day following the end of the First Exercise Period. No events which may cause the suspension of the exercise rights are expected during the First Exercise Period.
