THE OFFER FOR THE CAPITAL INCREASE OF DIGITAL MAGICS HAS BEEN FILED WITH THE COMPANIES REGISTER
THE CAPITAL INCREASE RESERVED TO INNOGEST AND WITHFOUNDERS’ SHAREHOLDERS HAS BEEN SUBSCRIBED
Milan, February 9, 2017 – Digital Magics SpA, business incubator listed on AIM market of Italian Stock Exchange (symbol: DM), hereby announces that, following the press release of February 8 2017 concerning the Offer, the corresponding notice has been filed with the competent Registry of Companies, and it’s available on the Company’s website, www.digitalmagics.com, under Investors/Capital Increase.
Digital Magics SpA hereby also announces that, today, the full subscription of the capital increase — reserved to Innogest SGR SpA. and some shareholders of Withfounders Srl, approved by the Extraordinary Shareholders’ Meeting on January 31 2017 — was concluded.
The subscription was completed by Innogest SGR SpA, Giulio Valiante, Carlo Frigato, Simone Ranucci Brandimarte and Marco De Palma, with the payment of EUR 607,640 in cash and the act of disposal of the shares, representing 35% of the share capital of Withfounders Srl, for a value of EUR 1,050,000.
The 410,815 new shares — which will be issued and credited to subscribers after the start of the subscription period of the simultaneous capital increase (see Press Releases of January 31 and February 8 2017) and that will have no pre-emption rights to adhere to the capital increase — will have a unit price of EUR 4,035 (of which a share premium of EUR 3,035).
The new shareholder Innogest SGR SpA — which has subscribed for 338,038 new shares resulting from the reserved capital increase — will be regarded as a “relevant shareholder†by exceeding the threshold of 5% (even in the case of “fully diluted†shares and therefore following the full subscription of the rights issue), according to the AIM Italia Rules.
Withfounders Srl is the seed accelerator — in which the founders themselves are startups entrepreneurs — that since 2014 has had Innogest SGR SpA as its shareholder. Withfounders has selected more than 200 projects, funded 15 companies — two of which are partially owned by Digital Magics, one was sold and another one was liquidated, and three of which have already reached the operating break-even — which employ more than 200 people,
With this operation, Digital Magics SpA indirectly enhances its portfolio of the aforementioned 13 startups, in which Withfounders Srl has already invested, and which registered a combined turnover greater than 15 million EUR in 2015. The portfolio of Digital Magics has now reached a number of 73 shareholdings.
